Lufthansa Acquires 41% Stake in ITA Airways to Strengthen European Network
The Lufthansa Group has officially acquired a 41% stake in ITA Airways, marking a pivotal expansion into the Italian market. This strategic partnership, involving a €325 million capital increase, positions Lufthansa as a stronger player in Europe and enhances connection options for travelers.
The Lufthansa Group finalized the transaction on January 17, 2025, securing a 41% stake in the Italian airline ITA Airways, which now becomes the fifth network airline within the group. The deal, which includes a €325 million capital increase, bolsters Lufthansa's position in the Italian and European markets while expanding connection options for its customers.
The agreement, approved by the European Commission in November 2024, also obtained authorization from competition authorities outside the European Union. It stems from an accord reached in May 2023, under which the Italian Ministry of Economy and Finance (MEF) retains 59% of ITA Airways' shares.
Strategic Growth in Italy: A Key Hub for Southern Europe
With ITA Airways' inclusion, Lufthansa enhances its presence in Italy, its second-largest international market after the United States. The airports of Rome Fiumicino and Milan Linate, key hubs for the Italian airline, will play pivotal roles in expanding Lufthansa's European network.
Carsten Spohr, CEO of Deutsche Lufthansa AG, expressed his enthusiasm for the partnership: "We are proud to welcome ITA Airways to the Lufthansa Group. This investment strengthens the Italian and European markets while improving offerings and connections for our passengers starting this summer."
The integration of ITA Airways into the Lufthansa Group will deliver immediate benefits to customers of both airlines. Starting with the summer 2025 flight schedule, ITA Airways passengers will gain access to the Miles & More loyalty program, allowing them to earn miles. Meanwhile, frequent flyers of ITA Airways can transfer their points to the Volare program.
Additionally, the partnership anticipates the implementation of code-share agreements, mutual use of VIP lounges, and ITA Airways' future membership in Star Alliance, giving travelers access to a broader network and enhanced services.
Founded in 2021, ITA Airways operates a modern fleet of 99 aircraft, including long-haul models such as the Airbus A350-900, A330-900neo, and A330-200. In 2024, the airline carried nearly 18 million passengers to almost 70 destinations worldwide.
As part of the Lufthansa Group, ITA Airways is set to experience significant growth and development. Joerg Eberhart has been named the airline’s new CEO, a position he will hold alongside his role on its Board of Directors. Lorenza Maggio will assume the role of Chief Strategy and Integration Officer, while Michael Trestl will oversee the airline’s integration into the Lufthansa Group.
